MEDS FOR ALL
SUBSCRIPTION AGREEMENT

By Subscribing to a Meds for All Subscription Plan, you signify you have read, understood, and accepted the terms of this Agreement. This Agreement, entered into on the date of initiation of your subscription by and between:

Astana Health Corp., a domestic corporation registered in accordance with Philippine laws with principal office address at
146 Katipunan Avenue, Bgy. St. Ignatius Village, Quezon City 1110 and doing business under the name and style of
Meds for All

-and-

Yourself, of legal age and with identifying information and contact information as specified upon your enrolment and entered into your account, hereinafter referred to as the Subscriber;

Witnesseth:

WHEREAS, Meds for All seeks to provide medicines at a lower cost to the general public through a subscription plan with a fair and reasonable monthly fee;

WHEREAS, Meds for All shall make available to subscribers and customers lower priced medicine online and in-store through acceptable payment channels;

WHEREAS, subscribers and customers may purchase from Meds for All lower priced medicines upon their diligent payment of a fair and reasonable monthly subscription fee that would sustain the operations of Meds for All;

NOW THEREFORE, for and in consideration of the foregoing, the parties have agreed to the following terms and conditions:

1. Obligations of the Subscriber
   
   
   1. The Subscriber shall pay Meds for All the monthly fee for the subscription plan through payment channels provided by Meds for All;
   
   
   2. The Subscriber agrees to the lock-in period of one year from the payment of the initial subscription fee;
   
   
   3. The Subscriber shall only use the subscription account to purchase medicines prescribed in his/her name or for his/her own exclusive use;
   
   
   4. The Subscriber shall, when purchasing prescription medicine, upload a clear and updated prescription duly signed by a licensed physician with the correct drug information and sufficient prescription quantity that has not been previously dispensed;
   
   
   5. When purchasing medicine online or in-store, the online account of the Subscriber shall be used to access the subscription benefits. Any purchase not made using the online account shall not entitle the Subscriber to the subscription plan’s benefits;
   
   
   6. The Subscriber shall promptly notify Meds for All of any change in method or mode of payment for the monthly subscription plan;
   
   
   7. In the event the Subscriber terminates the plan at any time during the lock-in period, the Subscriber agrees to pay the subscription fee for the remaining months of the lock-in period;
   
   
   8. The Subscriber or customer shall purchase medicines for his/her personal use only and undertakes not to sell or re-sell medicines purchased from Meds for All. The Subscriber or customer hereby waives the right to dispute or file any claim or action against Meds for All, its officers, directors, employees and representatives for refusing to sell medicines or products in quantities that are not for the personal use or consumption of the subscriber or customer or where the sale of a drug will result in the abuse of such drug and/or the abuse of the benefits and privileges under the subscription plan;
   
   
   9. The Subscriber or customer warrants that he/she has consulted with a physician and that the prescription presented to Meds for All in-store and/or uploaded online was issued by such physician. The Subscriber or customer waives any claim, right or action against Meds for All, its officers, directors, employees and representatives for any change in his/her condition after taking prescribed medicines purchased from Meds for All; and
   
   
   10. In case of default in the payment of subscription fees, the Subscriber shall settle all outstanding fees and, in addition, pay in advance subscription fees corresponding to the same number of months defaulted before being entitled to avail the benefits and privileges under the subscription plan.


2. Obligations of Meds for All
   
   
   1. Disclose all necessary information for any subscription plan(s) on offer, including the monthly fee and the medicines available to the Subscriber under a subscription plan, which information are available on the Meds for All website;
   
   
   2. Keep confidential all personal data submitted by the Subscriber;
   
   
   3. Refuse to sell medicines to and/or terminate the subscription plan of any Subscriber or customer who is abusing or has abused the benefits and privileges under the plan by making repeated purchases of medicines in quantities that are not for personal use; and
   
   
   4. Comply with all prevailing local laws and regulations with regard to data privacy, consumer protection and food and drug administration.

By entering into this Agreement, the Subscriber confirms that he/she has read and understood all of the provisions herein and agrees to be bound by them.
